1. Scope
These terms govern Zelius tender intelligence and decision-support services. Managed drafting, bid execution and other project work require a separately accepted order form or statement of work governed by the Professional Services Terms.
Legacy Z-Files and Z-Files Pro subscriptions remain governed by the terms accepted when purchased. They are not offered to new customers.
2. Services and deliverables
Zelius provides tender and procurement intelligence using customer-provided and external information. Every report includes the decision-relevant assessment stated in the applicable service description. The customer makes the final bid or no-bid decision.
The first agreed, bounded managed-execution pilot may be provided free of charge. Later drafting, bid support, specialist review, submission support and follow-up are separately scoped in writing before work starts.
3. Non-exclusive intelligence
A report or service does not grant exclusivity over any tender, opportunity, buyer, source, recommendation or market. Zelius may identify or recommend the same or similar opportunities to other customers. Exclusivity applies only when expressly agreed in writing.
4. Commercial terms
Reports and any bounded free pilot are provided only to the extent stated in the applicable offer. Fees, scope, milestones, success fees, exclusivity, approved third-party costs and payment terms for later managed work are stated in the accepted order form or statement of work. No paid work begins merely because Zelius identified an opportunity.
5. Customer responsibilities
The customer remains responsible for final bid or no-bid decisions, checking source documents and portal notices, deadlines, eligibility, pricing, commercial and legal review, timely submission and performance of any contract won.
6. Procurement data quality
Zelius uses customer-provided information and external sources. Source information may be incomplete, delayed, changed, misclassified, withdrawn or unavailable. Reports are decision-support material, not legal, procurement, financial or tax advice.
7. No guarantee of outcomes
Zelius does not guarantee that the customer will find a suitable opportunity, qualify, win, receive a buyer response or generate revenue. Recommendations and outputs are analytical decision-support estimates.
8. Email and alerts
The service may send requested reports, engagement notices, billing notices and other operational communications. Customers may unsubscribe from non-essential communications. Transactional messages may still be sent where needed to provide an agreed service.
9. Customer data and bid profiles
The customer confirms it may provide submitted information and that it is sufficiently accurate for personalization. The customer should not submit confidential, regulated or sensitive personal data unless necessary and authorized. Data is handled under the Privacy Policy and, where applicable, the DPA.
10. Intellectual property
Zephior retains rights in the Zelius technology, software, methods, know-how and service materials. Customers may use delivered reports for their own business. They may not resell, scrape, bulk export, reverse engineer or use the service to build a competing product or dataset.
11. Availability and changes
Coverage, formats and availability may change. Zephior may suspend a service where reasonably necessary to comply with law, prevent abuse, address security issues or respond to non-payment or material breach.
12. Liability
Liability relating to Zelius is governed by the applicable customer agreement and mandatory law. Nothing in these terms excludes or limits liability where doing so is prohibited by law.
13. Governing law and contact
Swiss substantive law applies, excluding conflict rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of Zug, Switzerland have exclusive jurisdiction, subject to mandatory law.
